 Permission is granted to electronically copy and print hard copy portions of this site for the sole purpose of placing an order with Healthy Ventures® or purchasing Healthy Ventures® products. You may display and, subject to any expressly stated restrictions or limitations relating to specific material, download or print portions of the material from the different areas of the site solely for your own non-commercial use, or to place an order with Healthy Ventures®® or to purchase Healthy Ventures®® products for your use, including but not limited to the reproduction, distribution, display or transmission of the content of this site is strictly prohibited, unless authorized by Healthy Ventures®. Healthy Ventures® grants you the limited, revocable permission, subject to the restrictions in these Terms, to share portions of the Site Content with others via the following methods when a Site feature purposefully makes such sharing available (“Viral Distribution“): (a) sending Site Content to friends or acquaintances at no charge; or (b) posting and displaying a copy of Site Content on a personal web site; or (c) posting and displaying a copy of the Site Content on a third party web site that permits users to post content, so long as the posting is allowed pursuant to the third party web site’s terms and conditions and policies, and provided that the third party web site does not charge for access to those materials or associate those materials with products, services or advertising.

You also agree that you will not imply that you and Healthy Ventures® or any Healthy Ventures® Brand are affiliated in any way or that Healthy Ventures® approves of your comments.

 Warranty Disclaimer

This site and the materials and products on this site are provided “as is" and without warranties of any kind, whether express or implied. To the fullest extent permissible pursuant to applicable law, Healthy Ventures® disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non­ infringement. Healthy Ventures® does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that the defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components. Healthy Ventures® does not make any warrantees or representations regarding the use of the materials in this site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise.  Limitation of Liability

 Typographical Errors

In the event that a Healthy Ventures® product is mistakenly listed at an incorrect price, Healthy Ventures® reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. Healthy Ventures® reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Healthy Ventures® shall issue a credit to your credit card account in the amount of the incorrect price.  Healthy Ventures® will work with you to achieve a positive outcome.

 Term; Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by Healthy Ventures® without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Healthy Ventures® may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to Healthy Ventures®.

 Miscellaneous

Your use of this site shall be governed in all respects by the laws of the state of California, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Healthy Ventures® products) shall be in the state or federal courts located in Ventura County, California. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Healthy Ventures® products} must be commenced within one (1) year after the claim or cause of action arises. Healthy Ventures®’ failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Healthy Ventures® may assign its rights and duties under this Agreement to any party at any time without notice to you.

 Use of Site

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language. is strictly forbidden. Impersonation of others, including a Healthy Ventures® or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute. or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights. abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

 WIDGETS

The Sites may provide certain content that you may choose to include on your personal web page, blog, third party web site or social networking profile page, or similar page by pasting the HTML or other code provided by Healthy Ventures® and labeled as embed code (or a similar identifying label) (“Widget”). Widgets are Site Content and subject to the limited, revocable license described above. You agree that you will not include or otherwise make available a Widget on a web page or web site containing content that is distasteful, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable (in Healthy Ventures®’s sole opinion). Healthy Ventures® may discontinue providing the services necessary for the Widgets to operate at any time for any reason without any liability to you. You agree that our permission to you to use Widgets on your Personal Page does not provide you (or any third party) with any intellectual property rights in or to the Widget or any content made available via any Widget. In addition, Healthy Ventures® may disable Widgets that you include on any Personal Page if you violate these Terms (as determined by Healthy Ventures® in its sole discretion) or for any or no reason, without any liability to you. You also agree to not use (or attempt to use) the Widget to display content other than the content provided or intended by Healthy Ventures® to be displayed via a particular Widget.

Your sole remedy for dissatisfaction with any portion of the site is to stop using the site, and the sole and exclusive maximum aggregate liability of the Healthy Ventures® parties for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) shall be the greater of ten dollars ($10.00) or the total amount paid by you, if any, to access the site.

 You agree that in the event you incur any damages, losses or injuries that arise out of Healthy Ventures®’s acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing any exploitation the sites or any Healthy Ventures® web site, property, product, service, or other site content owned or controlled by the Healthy Ventures® parties, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of the site or any Healthy Ventures® web site, property, product, service, or other site content owned or controlled by the Healthy Ventures® parties.

 By accessing the site, you understand that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand, and hereby expressly waive, the benefits of section 1542 of the civil code of california, and any similar law of any state or territory, which provides as follows: “a general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”

You agree to indemnify, defend, and hold harmless each of the Healthy Ventures® Parties from and against any and all claims, demands, damages, losses, costs, investigations, liabilities, judgments, settlements, attorneys’ fees, and other expenses that directly or indirectly arise from or are otherwise directly or indirectly related to: (a) your breach or anticipatory breach of these Terms or any Additional Terms; (b) your use of the Sites or activities in connection with the Sites; (c) your User Content; and your use of Viral Distribution, Widgets, and Applications; (d) your violation of any law, rule, regulation, code, statute, ordinance or order of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; (e) information or material transmitted through your computer, even if not submitted by you, that infringes, violates or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy or other right of any person or defames any person; (f) any misrepresentation made by you; or (g) the Healthy Ventures® Parties’ use of your information as permitted under these Terms, the Privacy Policy, or any other written agreement between you and Healthy Ventures®. You will cooperate as fully required by the Healthy Ventures® Parties in the defense of any claim. The Healthy Ventures® Parties reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of a duly authorized employee of the Healthy Ventures® Parties.

 TERMINATION

In its sole discretion, Healthy Ventures® reserves the right to terminate, suspend, or block your access to and use of the Sites, without notice and liability, for any reason, including, without limitation, if Healthy Ventures® believes your conduct fails to conform with these Terms. Healthy Ventures® also reserves the right to investigate suspected violations of these Terms, including, without limitation, any violation arising from any e-mails you send to the Sites or Healthy Ventures®. Any violation of these Terms may be referred to law enforcement authorities. Any provision of these Terms, which by its terms, ought to survive, shall survive any termination of these Terms.

DISPUTES AND ARBITRATION

Any dispute you have with Healthy Ventures® should be submitted to Healthy Ventures®’s Consumer Affairs Department within thirty days of the event giving rise to the dispute. The Consumer Affairs Department can be contacted via email at: info@Healthy Ventures®.net.  Please allow at least thirty (30) days for Healthy Ventures® to address your complaint prior to taking further action.

Except for disputes relating to the infringement of your or Healthy Ventures®’ intellectual property (such as trademarks, trade dress, copyright and patents) or where you or Healthy Ventures® are seeking a preliminary injunction (“Excluded Disputes”), you agree that all disputes between you and Healthy Ventures® (whether or not such dispute involves a third party) with regard to these Terms, your use of the Sites, your purchase of any Healthy Ventures® Brand product, or any Healthy Ventures® Brand advertisement or promotion, will be resolved by binding, individual arbitration under the American Arbitration Association’s rules for arbitration of consumer-related disputes and you hereby expressly waive trial by jury. Neither you nor Healthy Ventures® will participate in a class action or class-wide arbitration for any claims covered by this agreement.

 This dispute resolution provision will be governed by the Federal Arbitration Act and, where consistent, California law. The arbitration will be conducted in Ventura County, California, in the English language by three arbitrators appointed in accordance with the American Arbitration Association’s Rules. In the event the American Arbitration Association is unwilling or unable to set a hearing date within one hundred and sixty (160) days of filing the case, then either Healthy Ventures® or you can elect to have the arbitration administered instead by the Judicial Arbitration and Mediation Services. At your election, desktop or telephone arbitration, if available, can be used for claims of less than $10,000. In-person arbitration hearings will be conducted at the place of your residence at the time the dispute is submitted to arbitration. Healthy Ventures® will pay the costs for arbitration (not including your attorney’s fees) for claims under $5,000 where you are successful. In all other cases, you will bear 50% of the cost of any arbitration and you alone will be responsible for your attorney’s fees. Judgment on the award rendered by the arbitrators may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrators will not have authority to award punitive or exemplary damages.

 THE SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE TERMS AND ALL CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT, TORT, OR OTHERWISE) ARISING OUT OF OR RELATING TO THESE TERMS OR THE TERMINATION OF THESE TERMS. THE UNITED NATIONS CONVENTIONS ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS, IF OTHERWISE APPLICABLE, SHALL NOT APPLY.

 If any provision of these Terms if held to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction or during an arbitration per the arbitration terms above, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. Healthy Ventures® reserves the right to change this dispute resolution provision, but any such changes will not apply to disputes arising before the effective date of the amendment. This dispute resolution provision will survive the termination of any or all of your transactions with Healthy Ventures®.

 MISCELLANEOUS
